You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract to use the Services.

To use Marketplace features, you must create an account. You agree to:

• provide accurate, current information;
• maintain and update your information;
• keep your login credentials confidential; and
• be responsible for all activity under your account.

You may register as (or act in the capacity of) talent, agent/representative, or buyer. If you create an account on behalf of a company or another person, you represent you have authority to bind them to these Terms.

Perforemost provides the Services as a marketplace platform. We are not a party to agreements between users (including any engagement, booking, representation, or purchase agreement) unless we explicitly state otherwise in writing.

Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between Perforemost and any user. Users are responsible for determining any taxes, permits, insurance, and legal obligations applicable to their activities.

The Services may allow users to post, apply for, negotiate, and discuss opportunities. You understand and agree:

• Any negotiation or agreement is between the users involved.
• You are solely responsible for verifying the identity, suitability, and legitimacy of other users and opportunities.
• Perforemost does not guarantee that opportunities are accurate, available, lawful, or that negotiations will result in an agreement.

You agree not to:

• violate any law or regulation;
• infringe or violate others' rights (including IP, privacy, publicity);
• post deceptive, fraudulent, or misleading content (including fake opportunities or impersonation);
• harass, threaten, or discriminate against others;
• attempt to circumvent the Marketplace (e.g., scraping, reverse engineering, bypassing security, or interfering with platform operations);
• upload malware or harmful code; or
• use the Services to send spam or unsolicited communications.

We may remove content or restrict accounts that violate these Terms.

"User Content" includes information you submit or display through the Services, such as profiles, messages, listings/opportunities, proposals, and attachments.

You retain ownership of your User Content. By submitting User Content, you grant Perforemost a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and use it only as necessary to operate, provide, maintain, and improve the Services and to comply with law.

You represent and warrant that:

• you have all rights necessary to submit User Content; and
• your User Content complies with these Terms and applicable law.

If you choose to include photos, stage names, bios, reels, rates, availability, or other promotional information in your profile, you understand that other users may view it as part of the Marketplace.

You control what you publish. Do not post sensitive personal information you do not want shared.

The Services (excluding User Content), including software, design, text, graphics, and logos, are owned by or licensed to Perforemost and protected by intellectual property laws.

You may not copy, modify, distribute, sell, lease, or create derivative works from the Services except as expressly permitted.

The Services may integrate with third-party services (e.g., identity providers, hosting, analytics, communications tools). Your use of third-party services is governed by their terms and policies. Perforemost is not responsible for third-party services.

Our collection and use of personal information is described in our Privacy Policy. By using the Services, you agree to our data practices described there.

You may stop using the Services at any time.

We may suspend or terminate your access (including removing content or disabling accounts) if:

• you violate these Terms;
• your use poses a security risk, could subject us to liability, or disrupts the Services; or
• we are required to do so by law.

Sections that by their nature should survive termination will survive, including Sections 5, 7, 11–14.

THE SERVICES AND MARKETPLACE ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, error-free, or that any user will complete a transaction or honor negotiated terms.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERFOREMOST AND ITS AFFILIATES, OWNERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES OR INTERACTIONS WITH OTHER USERS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED US $100 OR THE AMOUNT YOU PAID US (IF ANY) FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.

(Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.)

You agree to defend, indemnify, and hold harmless Perforemost and its affiliates, owners, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• your use of the Services;
• your User Content; or
• your violation of these Terms or applicable law.

These Terms are governed by the laws of the State of Tennessee, without regard to conflict of laws principles.

You agree that any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Tennessee, and you consent to personal jurisdiction and venue in those courts.
